According to the complaint, the company made false and misleading statements to the market. Celsius incorrectly recorded stock-based compensation expenses for the second and third quarters of 2021. The company would be required to restate its financial results for those quarters, including a net loss for the third quarter. The Company failed to maintain adequate controls over financial reporting. Based on these facts, the Company’s public statements were false and materially misleading throughout the Class Period.
